DIRECTOR SERVICES

Cedarwood Associates has served fund directors in a number of different areas.  We are very sensitive to the responsibilities of directors and the difficulties that can arise in fulfilling those responsibilities.   

• Advisory Contract Renewals – We support either the full process or individual areas such as profitability review, peer group selection or fee evaluations.
   

• Risk Assessments – We analyze the business mix, risk process, resource dedication and other areas that impact the level of risk faced by advisors and also by fund boards.  Risk Assessment has been a focus of the SEC both in compliance program guidance and in examinations.
   

• Evaluation and Due Diligence – We assist in evaluating proposals for fund mergers, consolidations or liquidations, including the investment merits of the proposals, the shareholder impact, service provider issues, governance impact, or other areas of concern.
   

• Advisor Replacement – We support of boards in selecting new advisors either due to performance issues or a desire to exit the business.
   

• Review of Advisor Business Practices – We analyze and assess trading practices, soft dollars, distribution strategies, pricing/valuation, and organizational changes.
   

• Governance Assistance – We support a process to identify and select qualified new directors, committee structure evaluation, board process analyses and trustee education either for new trustees or specific topics.
